Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “User”) and Trefur Pte. Ltd. (“Trefur”, “we”, “us”, or “our”), governing your access to and use of the Trefur website (trefur.com), platform, APIs, SDKs, documentation, and related services (collectively, the “Services”).
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Definitions
- “Account” means your registered Trefur account.
- “User Content” means all data, configurations, agent definitions, telemetry, queries, files, and other material you submit, upload, or transmit through the Services.
- “Telemetry Data” means traces, spans, metrics, logs, tool invocations, model inputs/outputs, cost data, and error information transmitted through our SDKs or APIs.
- “Platform” means the Trefur cloud platform accessible at app.trefur.com and via APIs.
2. Account Registration & Security
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens.
- You are responsible for all activities that occur under your account.
- You must immediately notify us of any unauthorized access or security breach at hello@trefur.com.
- We reserve the right to suspend or terminate accounts that violate these Terms.
- You must be at least 16 years of age to use the Services.
3. Use of the Services
3.1 Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with your subscription plan.
3.2 Prohibited Uses
You agree NOT to:
- Use the Services for any illegal purpose or in violation of any applicable law or regulation
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
- Interfere with, disrupt, or degrade the performance or security of the Services or any connected systems
- Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems
- Use the Services to transmit malware, viruses, or other harmful code
- Scrape, mine, or automatically extract data from the Services beyond API rate limits
- Sublicense, resell, rent, lease, or redistribute the Services to third parties without written consent
- Remove, alter, or obscure any proprietary notices, trademarks, or branding
- Use the Services to build a competing product or service
- Transmit any content that infringes intellectual property rights of any third party
- Use the Services to process, store, or transmit data in violation of applicable data protection laws
- Exceed the usage limits of your subscription plan through any means, including automated scripts
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
4. User Content & Data Ownership
4.1 Your Data
You retain all ownership rights to your User Content and Telemetry Data. We do not claim ownership of your data. We process your data solely to provide the Services to you.
4.2 License Grant
You grant Trefur a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely as necessary to provide, maintain, and improve the Services. This license terminates when you delete your data or account.
4.3 Aggregated Data
We may create anonymized, aggregated statistical data derived from your use of the Services. Such aggregated data will not identify you or any individual user. We own such aggregated data and may use it for any lawful business purpose, including improving the Services and creating industry benchmarks.
4.4 Your Responsibilities
You are solely responsible for the accuracy, legality, and appropriateness of all User Content. You represent and warrant that you have all necessary rights and permissions to submit User Content and that such content does not violate the rights of any third party.
5. Intellectual Property
The Services, including all software, technology, algorithms, models, interfaces, documentation, branding, trademarks, and proprietary methods, are and remain the exclusive property of Trefur. Nothing in these Terms grants you any right, title, or interest in the Services except the limited use license in Section 3.1.
All feedback, suggestions, and ideas you provide regarding the Services (“Feedback”) may be freely used by Trefur without obligation to you. You hereby assign all rights in such Feedback to Trefur.
6. Fees & Payment
- Certain features require a paid subscription. Fees are listed on our pricing page.
- All fees are quoted in USD and are non-refundable except where required by law.
- We may change pricing with 30 days' written notice. Continued use after notice constitutes acceptance.
- Overdue payments may result in suspension or termination of Services.
- You are responsible for all applicable taxes (excluding taxes on our income).
- Free tiers are provided “as-is” and may be modified or discontinued at any time.
7. Service Level & Availability
We strive to provide reliable, continuously available Services. However, the Services are provided on an “as available” basis. We do not guarantee uninterrupted, error-free, or secure operation of the Services. Planned maintenance will be communicated in advance where possible.
8. Beta Services
We may offer beta, preview, or early-access features (“Beta Services”). Beta Services are provided “AS IS” and “AS AVAILABLE” without warranty of any kind. We may modify, suspend, or discontinue Beta Services at any time without notice or liability. Beta Services may contain bugs, errors, or security vulnerabilities. Use of Beta Services is at your sole risk.
9. Third-Party Services & Integrations
The Services may integrate with or enable connections to third-party services (LLM providers, cloud services, SaaS applications). Your use of third-party services is governed by their respective terms and privacy policies. Trefur is not responsible for the availability, accuracy, or conduct of any third-party service. Any data you share with third-party services through Trefur is at your sole risk and discretion.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
Without limiting the foregoing, Trefur does not warrant that:
- The Services will meet your specific requirements or expectations
- The Services will be uninterrupted, timely, secure, or error-free
- Any data, results, outputs, or analytics provided through the Services will be accurate, reliable, or complete
- Any defects will be corrected within any particular timeframe
- The Services will be compatible with all hardware, software, or network configurations
You acknowledge that AI systems, including agents and models used with the Services, may produce inaccurate, incomplete, or unexpected outputs. Trefur is not liable for decisions made based on such outputs.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TREFUR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, business, or goodwill
- Cost of procurement of substitute services
- Business interruption or system downtime
- Data breaches caused by third-party actions or your failure to maintain security
- Damages arising from unauthorized access to your account
- Any damages arising from or related to AI agent behavior, outputs, or decisions
REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF TREFUR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL TREFUR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO TREFUR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Trefur, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your User Content or Telemetry Data
- Your violation of these Terms or any applicable law
- Your violation of any third-party rights (including intellectual property rights)
- Actions taken by AI agents configured, deployed, or managed through your account
- Any unauthorized access to the Services caused by your failure to secure your credentials
13. AI Agent Disclaimer
The Services enable you to build, deploy, observe, and manage AI agents. You acknowledge and agree that:
- You are solely responsible for the configuration, behavior, and outputs of AI agents you create, deploy, or manage using the Services.
- Trefur provides infrastructure and tooling — we do not control the behavior of your agents, the models they use, or the decisions they make.
- AI agents may produce inaccurate, biased, harmful, or unexpected outputs. You must implement appropriate safeguards, human oversight, and review processes.
- You are responsible for ensuring your use of AI agents complies with all applicable laws, regulations, and ethical guidelines, including laws related to automated decision-making, consumer protection, and data privacy.
- Trefur is not liable for any damages, losses, or harm caused by AI agents operating through the Services, including autonomous actions, tool invocations, or interactions with external systems.
14. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law. Confidential information does not include information that is publicly available, independently developed, or lawfully received from a third party.
15. Termination
- You may terminate your account at any time by contacting us at hello@trefur.com.
- We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited conduct, or fail to pay applicable fees.
- Upon termination, your right to use the Services ceases immediately.
- We will make your data available for export for 30 days following termination. After that period, we may delete your data.
- Sections 4.3 (Aggregated Data), 5 (IP), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 13 (AI Disclaimer), 14 (Confidentiality), 16 (Governing Law), and 17 (Dispute Resolution) survive termination.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
17. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation for a period of 30 days.
- Arbitration: If negotiation fails, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore. The language of arbitration shall be English.
- Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
18. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, wars, terrorism, pandemics, government actions, internet or telecommunications failures, third-party service outages, or cyberattacks.
19. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated Terms on our website or by email notification. Your continued use of the Services after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
20. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Trefur regarding the Services.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any right under these Terms shall not constitute a waiver of that right.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Trefur.
- Notices: Notices to Trefur shall be sent to hello@trefur.com. Notices to you will be sent to the email address associated with your account.
